2) Eligibility

We provide a platform to help connect users with independent attorneys. Information on the Services is for general informational purposes only and is not legal advice. Communications with us are not confidential legal communications and do not create an attorney-client relationship.

4) Attorney Independence; No Endorsement

Attorneys listed or contacted through the Services are independent professionals who are not employees, agents, or partners of WhenYouNeedALawyer.com. We do not supervise or control their advice, work, or professional judgments and we do not guarantee outcomes. Inclusion in our directory does not constitute an endorsement or warranty of any attorney’s qualifications.

5) Accounts & Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

6) User Content; Reviews

You are responsible for any content you submit, including inquiries, messages, documents, and reviews. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and use it to operate and improve the Services. We may moderate, edit, or remove content at our discretion, including content that is unlawful, misleading, defamatory, obscene, or that infringes third-party rights.

Any fees paid to us are for marketing and platform services and are not legal fees. You are responsible for any fees you agree upon with an attorney.

9) Intellectual Property

The Services, including text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

10) Copyright/DMCA Policy

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM.

14) Indemnification

You agree to defend, indemnify, and hold harmless WhenYouNeedALawyer.com and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or applicable law.

15) Dispute Resolution; Arbitration; Class-Action Waiver

Informal Resolution. Before filing a claim, you agree to email us at legal@whenyouneedalawyer.com with a brief description and your contact info so we can attempt to resolve it informally within 30 days.

Binding Arbitration. Except for small-claims actions and claims for injunctive relief, any dispute arising out of or relating to the Services or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat and venue of arbitration shall be Suffolk County, New York. The arbitrator may award individual relief as permitted by law.

Class/Collective Action Waiver. You and we agree that disputes will be resolved only on an individual basis and not in a class, collective, or representative action.

Opt-Out. You may opt out of arbitration and the class-action waiver within 30 days of first accepting these Terms by emailing legal@whenyouneedalawyer.com with your name, contact information, and a clear statement that you opt out. Opting out does not affect other provisions of these Terms.

Governing Law. These Terms are governed by the laws of the State of New York, without regard to conflicts-of-law principles.

We may suspend or terminate the Services or your access at any time, with or without notice, including for any violation of these Terms, harm to other users, or operational reasons.

17) Changes to the Services or Terms

We may update the Services and these Terms from time to time. Changes are effective when posted. Your continued use of the Services after changes become effective constitutes acceptance.

18) Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. These Terms constitute the entire agreement between you and us regarding the Services and supersede prior agreements. You may not assign these Terms without our prior written consent.
